Article 1 (Purpose)

These Terms of Service govern the conditions, procedures, rights, obligations, and responsibilities of users and the service provider for the trading journal and related services provided by Trading Diary (hereinafter "Service").

Article 2 (Definitions)

1. "Service" refers to the online features provided by Trading Diary, including trading journal creation, trade history tracking, and performance analysis.
2. "User" refers to members and non-members who use the Service in accordance with these Terms.
3. "Member" refers to a person who has registered with the Service and received a user account.
4. "Content" refers to all forms of data entered by users into the Service, including trade records, journal entries, notes, and images.
5. "Paid Service" refers to premium features such as the Pro subscription that require a separate fee to use.

Article 3 (Effect and Modification of Terms)

1. These Terms are effective for all users who wish to use the Service.
2. The Service may modify these Terms within the scope of applicable laws when necessary, and will provide notice at least 7 days before implementation via in-service announcements or email. For changes that are materially disadvantageous to users, 30 days' notice will be provided.
3. For changes that are materially disadvantageous to users, the Service will individually notify users via email or in-service pop-up. Users who do not accept the changes may express their objection within 30 days of notification and discontinue use or withdraw from the Service. In such cases, the Service will provide a pro-rated refund for the remaining period of any paid subscription.
4. For non-disadvantageous changes, continued use of the Service after the effective date of the modified Terms constitutes acceptance of such modifications.

Article 4 (Service Provision)

The Service provides the following features:

  • Trading journal creation and management
  • Trade history recording and tracking
  • Performance analysis and statistics dashboard
  • Goal setting and self-evaluation
  • AI-powered trading analysis coach
  • Watchlist management
  • Public API for external integrations

The Service may modify or discontinue features based on operational or technical needs. In such cases, the reason and schedule will be announced in advance. However, in unavoidable circumstances such as urgent security patches or legal requirements, notice may be given afterwards.

Article 5 (Registration and Withdrawal)

1. Registration is completed when a user agrees to these Terms and authenticates via social login (e.g., Google) or other registration methods provided by the Service.
2. Users under the age of 14 (or the minimum age of digital consent in their jurisdiction) may not register for the Service.
3. Members may request account deletion at any time through the settings menu. The Service will process it immediately except where retention is required by applicable law.
4. Upon withdrawal, personal information and Content will be destroyed without undue delay (within 30 days), except where retention is required by applicable law. Data included in system backups may be removed progressively according to the backup cycle.
5. Paid subscribers who have not logged in for 3 or more months will receive a usage status notification via their registered email. Accounts that have not logged in for over 1 year will be placed in dormant status. Members will be notified via email 30 days before dormancy. Logging in within 6 months of dormancy immediately restores the account. After 6 months of dormancy, all personal information and data will be permanently deleted. For members with active paid subscriptions, the subscription will be automatically cancelled (period-expiry method) upon dormancy, and auto-billing will cease. However, payment and subscription records will be retained separately for 5 years in accordance with applicable tax laws. The Service may retain login history and key usage records to address refund disputes.

Article 6 (User Obligations)

Users must not engage in the following activities:

  • Registering false information or impersonating others
  • Interfering with the normal operation of the Service (hacking, distributing malware, excessive API calls, etc.)
  • Collecting, storing, or disclosing other users' personal information
  • Infringing upon the intellectual property rights or other rights of third parties through the Service
  • Using the Service for unauthorized commercial purposes or resale
  • Accessing the Service through unauthorized automated means (bots, crawlers, etc.), excluding the official API provided by the Service

Users are responsible for securely managing their account and social login credentials. The Service is not liable for damages resulting from unauthorized use of accounts.

Article 7 (Service Provider Obligations)

1. The Service shall make reasonable efforts to provide stable service in accordance with applicable laws and these Terms.
2. The Service maintains security systems to protect user personal information and complies with the Privacy Policy.
3. The Service takes appropriate measures when user opinions or complaints are deemed legitimate.

Article 8 (Intellectual Property)

1. Copyright and intellectual property rights to the Service belong to the service provider.
2. Copyright in Content entered by users into the Service belongs to the users. However, users grant the Service a license to use such Content (storage, display, analysis, and anonymized statistical processing for service improvement and promotional purposes) to the extent necessary for the normal operation of the Service.
3. Users may not reproduce, distribute, modify, or commercially use the Service's design, logo, trademarks, or software without prior written consent from the service provider.

Article 9 (Service Suspension and Limitation)

1. The Service may temporarily suspend service for system maintenance or equipment replacement, with prior notice. In urgent cases, notice may be given afterwards.
2. The Service may restrict use or suspend accounts with prior notice when users violate these Terms. In urgent cases such as hacking, fraud, or illegal activity, the Service may immediately restrict access without prior notice and provide notice afterwards.
3. The Service may be terminated due to business circumstances, in which case 60 days' notice will be given. Users may back up their data during the notice period.
4. Upon service termination, paid subscribers will receive a pro-rated refund for the remaining subscription period.

Article 10 (Paid Services and Payment)

1. The Service offers Free and Pro (paid) plans. The scope of features and pricing for each plan are published on the pricing page within the Service.
2. Paid services are billed on a monthly or annual subscription basis and automatically renew at the end of each billing period unless cancelled by the user. The Service will endeavor to notify users of the upcoming renewal via email or in-service notification before auto-renewal.
3. Payment details (payment methods, auto-renewal, price changes, etc.) are provided at the time of payment.
4. The Service may change the pricing of paid services with at least 30 days' prior notice. Existing subscribers will continue at the previous price for their current billing period, and the new price will apply from the next renewal. Users who do not agree to the price change may cancel their subscription before the next renewal.
5. Refunds for paid services are governed by the separate Refund Policy.
6. If a minor under 19 years of age makes a payment for paid services without the consent of their legal guardian, the minor or the legal guardian may cancel the contract in accordance with Article 5 of the Korean Civil Act, and the payment will be refunded in full.

Article 11 (Third-Party Services)

1. The Service provides social login via Google OAuth, and Google's Terms of Service and Privacy Policy additionally apply when using this feature.
2. The Service may display advertisements through Google AdSense, which may set cookies on users' browsers.
3. The Service uses Google Gemini API for AI trading analysis features. Users' trading records (symbol names, prices, quantities, notes, etc.) are transmitted for analysis purposes. Processing of such data is subject to Google's API Terms of Service.
4. Service data is stored in databases provided by Supabase Inc.
5. The Service will make reasonable efforts to provide alternatives in case of third-party service outages or policy changes, but is not liable for direct damages caused by third-party fault.

Article 12 (Investment Disclaimer)

1. The Service is not an investment advisory, recommendation, or brokerage service. Trading information and analysis results recorded in the Service are personal records and cannot be used as a basis for any investment decisions.
2. Any gains or losses from investments are solely attributable to the user, and the Service bears no responsibility whatsoever.
3. The Service does not guarantee the accuracy, completeness, or reliability of data entered by users.

Article 13 (Disclaimer of Warranties)

1. The Service is not liable for service interruptions due to force majeure events such as natural disasters, wars, or telecommunications provider outages.
2. The Service is not liable for service disruptions caused by the user's own actions.
3. If the Service is interrupted for 24 or more consecutive hours due to the service provider's fault, paid subscribers will receive a subscription extension equal to the downtime or a refund for the corresponding period. However, service interruptions caused by third-party infrastructure providers (hosting, database, authentication providers, etc.) shall not be considered the service provider's fault.
4. To the maximum extent permitted by applicable law, the Service disclaims liability for indirect, incidental, or consequential damages arising from use of the Service. However, the service provider shall remain liable for damages caused by willful misconduct or gross negligence.

Article 14 (Indemnification)

1. Users who cause damage to the Service or third parties by violating these Terms are responsible for compensating such damages.
2. Where damage to users occurs due to the Service's fault, compensation is limited to actual direct damages within the scope permitted by applicable law. However, the total liability of the Service shall not exceed the total amount paid by the affected user to the Service during the 12 months preceding the date of damage. For free users, the Service shall not be liable for damages except to the extent mandated by applicable law.

Article 15 (Governing Law and Dispute Resolution)

1. These Terms and the use of the Service are governed by the laws of the Republic of Korea.
2. In the event of a dispute, both parties shall negotiate in good faith to reach an amicable resolution.
3. If negotiation fails, users may apply for mediation through relevant dispute resolution organizations such as the Korea Consumer Agency (www.kca.go.kr).
4. If litigation is necessary, the Suwon District Court shall have exclusive jurisdiction as the court of first instance.

Article 16 (General Provisions)

1. If any provision of these Terms is found to be invalid or unenforceable by law, the validity of the remaining provisions shall not be affected.
2. Matters not specified in these Terms shall be governed by applicable laws and customs.

Supplementary Provisions

1. These Terms of Service are effective from March 7, 2026.
